Definition of Qualified Investor as per Art. 10 CISA (Collective Investment Scheme Act):

Paragraph 3 — Regulated financial intermediaries such as banks, securities traders, fund management companies and asset managers of collective investment schemes, as well as central banks; regulated insurance institutions; public entities and retirement benefits institutions with professional treasury operations; companies with professional treasury operations.

Paragraph 3bis — High-net-worth individuals may declare in writing that they wish to be deemed qualified investors. In addition, the Federal Council may make such persons’ suitability as qualified investors dependent on certain conditions, specifically technical qualifications.

Paragraph 3ter — Investors who have concluded a written discretionary management agreement as defined in Article 3 Paragraph 2b and c are deemed qualified investors.

About these disclosures

Block Asset Management S.à r.l. (“BAM”) is a Luxembourg-based alternative investment fund manager registered with the Commission de Surveillance du Secteur Financier as a sub-threshold alternative investment fund manager.

BAM makes the following disclosures in accordance with Regulation (EU) 2019/2088 on sustainability-related disclosures in the financial services sector (“SFDR”).

BAM’s investment products do not promote environmental or social characteristics and do not have sustainable investment as their objective.

Sustainability Risk Integration Policy

BAM recognises that environmental, social or governance events or conditions may, in certain circumstances, have an actual or potential material negative impact on the value of an investment.

BAM does not apply mandatory environmental, social or governance investment criteria and does not exclude investments solely on sustainability grounds.

Where reliable information is reasonably available, sustainability risks may be considered as part of the general assessment of financially material risks. In the digital asset sector, such risks may include energy consumption, changes in environmental regulation, governance failures, cybersecurity, operational resilience, regulatory developments and reputational risks.

The relevance and materiality of these risks vary considerably depending on the investment, strategy and available data. Sustainability risks are therefore considered only to the extent that BAM considers them financially material to the relevant investment decision.

BAM does not represent that its products pursue environmental or social objectives or that investments are selected by reference to EU Taxonomy criteria.

Principal Adverse Impacts

BAM does not currently consider the principal adverse impacts of its investment decisions on sustainability factors within the meaning of Article 4(1)(b) of SFDR.

This decision reflects:

  • the size, nature and scale of BAM’s activities;
  • the nature of its investment strategies;
  • the limited availability of complete, consistent and reliable sustainability data for digital assets, blockchain protocols and certain underlying investment managers;
  • the disproportionate operational burden that formal PAI reporting would currently impose; and
  • the fact that BAM’s products do not promote environmental or social characteristics and do not have sustainable investment as their objective.

BAM will periodically review this position, taking into account regulatory developments, changes to its business, the availability and reliability of sustainability information and the proportionality of implementing formal PAI consideration.

BAM does not currently intend to consider principal adverse impacts unless there is a material change in these circumstances.

Remuneration and sustainability risks

BAM is not subject, by reason of its status as a registered sub-threshold AIFM, to the full remuneration framework applicable to authorised AIFMs.

BAM does not operate remuneration arrangements that are designed to incentivise excessive risk-taking in relation to sustainability risks. To the extent that sustainability risks are financially material to an investment decision, they form part of BAM’s general risk considerations and are not treated separately for remuneration purposes.

Product classification

Unless expressly stated otherwise in the relevant offering documentation, the investment products managed or promoted by BAM are treated as financial products falling within Article 6 of SFDR.

They do not promote environmental or social characteristics and do not have sustainable investment as their objective.

Review and updates

These disclosures are reviewed periodically and may be updated following changes to BAM’s business, investment products, applicable legislation or regulatory guidance.
